These Terms of Token Sale ("Terms") govern your participation in the BRX token sale operated by BRICKX Protocol ("BRICKX", "we", "us"). By creating an account, completing KYC, or purchasing BRX, you agree to these Terms.
BRX is a utility/governance token of the BRICKX ecosystem. BRX is not a share, security, deposit, or claim on the assets or profits of any company, and purchasing BRX does not grant equity, ownership, or a guaranteed return. The Phase 2 BRICK property token and any dividend mechanics are described separately and are subject to their own terms.
You must be at least 18 years old and legally permitted to purchase digital assets in your jurisdiction. The sale is not offered to persons in restricted jurisdictions, including comprehensively sanctioned regions, and any jurisdiction where the sale would be unlawful. You represent that you are not such a person and are not acting on behalf of one.
Identity verification (KYC) via our provider is mandatory before purchase. We may refuse, suspend, or reverse any transaction we reasonably believe is connected to fraud, money laundering, sanctions evasion, or unlawful activity.
BRX is sold at the price and within the limits displayed at the time of purchase (minimum and maximum per wallet/round). Payment is made in the accepted cryptocurrencies to the treasury address shown for your order. Sending funds from an address other than your registered wallet may delay confirmation. You are responsible for sending the correct amount on the correct network; transactions on the blockchain are irreversible.
BRX allocations are recorded once payment is confirmed and delivered at the Token Generation Event (TGE), subject to any applicable lock-up and vesting schedule disclosed for the relevant round.
Roadmaps, target raises, hotel acquisition plans, projected yields, and timelines are aspirational and may change. Nothing on our sites is a promise of future performance, value, or dividend.
Digital assets are volatile and high-risk. You may lose the entire value of your purchase. Please read the Risk Disclosure in full.
Except where required by law or expressly stated, purchases are final. Unpaid orders may be cancelled automatically and release the reserved allocation.
To the maximum extent permitted by law, BRICKX and its contributors are not liable for indirect, incidental, or consequential losses, or for losses arising from blockchain failures, wallet errors, or third-party services.
We may update these Terms; material changes will be notified through the Services or by email where appropriate, and your continued participation after an update constitutes acceptance. These Terms are governed by the laws of the jurisdiction in which BRICKX Protocol is established, without regard to its conflict-of-laws rules, and you agree to the exclusive jurisdiction of the competent courts of that place for any dispute, subject to any mandatory consumer protections available to you under your local law.
